This Website and the professional training, certification, enablement and associated services offered through it are operated by APT Educators LLP, an entity registered in India ("APT Educators", "Upskill", "we", "us" or "our").

Upskill / The Upskill Network is the professional training and certification ecosystem operated by APT Educators LLP.

These Terms & Conditions govern your access to and use of the Website, registration for any Upskill programme, participation in the Upskill professional ecosystem, use of associated portals, resources and services, and your continuing professional association with Upskill.

By accessing the Website, submitting an enquiry or registration, making a payment, enrolling in a programme, accessing programme resources or continuing to use Upskill services, you acknowledge that you have read and understood these Terms & Conditions.

Where programme-specific Participant Terms & Conditions, enrolment terms, commercial terms or agreements are separately issued, those terms shall apply additionally to the relevant programme.

2. Nature of Upskill

Upskill is a professional training, certification and enablement ecosystem designed to identify, train, certify, equip and support individuals seeking to establish or strengthen independent careers as trainers, counsellors, coaches, consultants and other education or skill-development professionals.

Upskill presently operates through multiple professional verticals and may introduce, modify or discontinue verticals from time to time.

The exact duration, curriculum, certification requirements, fees, assessments, commercial arrangements and post-programme support may vary between programmes and geographies.

3. Independent Professional Relationship

Participation in an Upskill programme or association with the Upskill ecosystem does not, unless expressly agreed through a separate written agreement, create:

  • an employer-employee relationship;
  • partnership;
  • franchise;
  • agency;
  • joint venture;
  • distributorship;
  • legal representation; or
  • ownership interest in APT Educators LLP or Upskill.

Certified professionals operate independently and remain responsible for their own professional practice, taxation, invoicing, regulatory compliance, pricing, representations to clients and compliance with laws applicable to their activities.

4. Registration and Admission

Submission of an enquiry, application or registration does not automatically guarantee admission.

Upskill may evaluate applicants based on criteria relevant to the programme, which may include qualifications, language proficiency, professional background, experience, aptitude, suitability, geographical location, regulatory requirements and commitment to completing the programme.

Upskill reserves the right to accept or decline an application.

Information provided during registration must be accurate and complete.

5. Programme Information

Programme information displayed on the Website is intended to provide an overview of the applicable programme.

Detailed information regarding fees, duration, schedules, faculty, curriculum, certification, assessments, resources, commercial arrangements and other programme-specific requirements may be communicated separately before or during enrolment.

Operational processes, technology, faculty allocation, schedules, platforms and support mechanisms may evolve over time.

Where material changes affect an already enrolled participant, Upskill will make reasonable efforts to communicate such changes.

6. Programme Participation

Participants are expected to attend and participate in scheduled learning activities; complete assignments, assessments and practical activities where prescribed; comply with academic and administrative instructions; maintain professional conduct; respect faculty members and fellow participants; maintain confidentiality where required; and comply with applicable programme policies.

Registration or payment alone does not create an automatic entitlement to certification.

7. Certification

Certification is subject to successful completion of the academic, practical, assessment, attendance and administrative requirements prescribed for the applicable programme.

Upskill certificates are issued by the entity expressly identified on the relevant certificate.

Where Upskill facilitates participation in programmes, workshops, assessments or certifications offered by external organisations, such programmes remain subject to the independent rules, eligibility criteria, schedules and decisions of those organisations.

Association with, accreditation by or partnership with an external organisation should not be interpreted as that organisation issuing or endorsing an Upskill certificate unless expressly stated.

8. Professional and Regulatory Compliance

Certified professionals are responsible for ensuring that they possess any qualification, licence, registration, permit, approval or authorisation required to provide their professional services within their jurisdiction.

Upskill certification does not replace any licence or regulatory authorisation mandated by government or regulatory authorities.

9. UAE Operations

APT Educators LLP is an Indian entity and does not represent itself as a UAE educational institution or learner-facing tuition provider.

In the UAE, Upskill's role may include online professional development, trainer training and certification, academic resources, professional support, marketing support and learner-enquiry facilitation.

Learner-facing training in the UAE is provided independently by appropriately authorised trainers.

Trainers are individually responsible for maintaining any Private Tutor Permit, professional licence or other approval required under applicable UAE regulations.

Learners engaging trainers in the UAE contract directly with the respective trainer and ordinarily pay their training fees directly to that trainer.

Nothing on this Website should be interpreted as UAE Government, KHDA, ACTVET or other UAE regulatory approval or accreditation unless expressly stated.

10. Professional Visibility and Learner Acquisition Support

Upskill may undertake initiatives intended to increase the visibility of certified professionals and facilitate connections with prospective learners or clients.

  • trainer or counsellor listings;
  • websites and professional profile pages;
  • organic search visibility;
  • paid advertising;
  • social-media campaigns;
  • institutional outreach;
  • webinars;
  • referral programmes;
  • community initiatives; and
  • other promotional activities.

However, Upskill does not guarantee any minimum or fixed number of enquiries, leads, students, clients, conversions, referrals, revenue, income or earnings.

Commercial outcomes depend on multiple factors outside Upskill's reasonable control, including market demand, geography, competition, pricing, participant availability, responsiveness, professional competence and individual conversion ability.

11. Revenue Sharing and Commercial Arrangements

Certain Upskill programmes may provide opportunities for certified professionals to receive learners, clients or professional opportunities through the Upskill ecosystem.

Where revenue sharing, referral commissions or other commercial arrangements apply, the applicable percentages and conditions will be communicated separately through programme-specific terms or written agreements.

Commercial arrangements applicable to one vertical, geography or intake should not be assumed to apply to another.

12. Intellectual Property

Unless otherwise expressly stated, all proprietary material provided by Upskill or APT Educators LLP, including curriculum, training manuals, presentations, worksheets, assessments, videos, recordings, operational documents, digital systems, software, websites, dashboards, automation systems, branding assets, templates and training resources remain the intellectual property of APT Educators LLP or the respective rights holder.

Authorised programme resources may be used by participants for the professional purposes for which they are provided.

They may not be copied for resale, sublicensed, commercially redistributed, uploaded to public repositories, represented as independently created content or otherwise exploited without written permission.

Participants retain ownership over genuinely original materials independently created by them.

13. Brand Usage

The names "Upskill", "The Upskill Network", associated logos and other brand assets may be used only in accordance with permissions and branding guidelines issued by Upskill.

Certification does not authorise a person to represent themselves as an employee, branch, partner, franchisee, legal representative or authorised agent of APT Educators LLP.

14. Trainer Profiles, Testimonials and Submitted Content

Where participants voluntarily provide photographs, biographies, qualifications, testimonials, reviews, professional information or other content for listing or promotional purposes, they authorise Upskill to display and use such information for legitimate professional, community, marketing and promotional purposes.

Participants remain responsible for ensuring that information submitted by them is accurate and does not infringe third-party rights.

Requests to correct or remove personal information will be handled in accordance with the Privacy Policy and applicable law.

15. Website and Platform Usage

Users must not:

  • attempt unauthorised access to systems or accounts;
  • introduce malicious software;
  • scrape or systematically copy Website content;
  • impersonate another person;
  • submit fraudulent information;
  • misuse trainer or learner information;
  • interfere with Website security;
  • use Upskill intellectual property without authorisation; or

17. Fees, Payments, Cancellations and Refunds

Programme fees and payment schedules vary according to programme, geography and intake.

Payments must be made through the authorised methods communicated by Upskill.

Cancellations and refunds shall be governed by the Cancellation & Refund Policy published on this Website together with any programme-specific written enrolment terms communicated before payment.

18. Suspension or Termination

Upskill may suspend access, certification privileges, listings, ecosystem benefits or association where there is material misconduct, including fraud, academic misconduct, unlawful activity, misuse of confidential information, misuse of Upskill intellectual property, materially false professional representations, serious unethical conduct or material breach of applicable terms.

Where reasonably practicable, the concerned participant may be provided an opportunity to explain their position before a final decision is taken.

19. No Guarantee of Business Outcomes

Any examples of potential revenue, earnings, student numbers, business opportunities, referrals or commercial outcomes are illustrations only.

They are not promises, projections or guarantees.

Nothing on the Website should be interpreted as a guarantee of employment, income, student acquisition, business profitability or professional success.

20. Limitation of Liability

To the extent permitted by applicable law, APT Educators LLP shall not be liable for indirect, incidental, consequential or commercial losses resulting from reliance upon projected income, loss of business opportunities, third-party decisions, regulatory approvals, independent trainer-client relationships or circumstances beyond its reasonable control.

23. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India.

Parties are encouraged to first attempt an amicable resolution of any dispute.

Subject to applicable law, unresolved disputes shall fall within the jurisdiction of the competent courts at Ahmedabad, Gujarat, India.
